1. Acceptance of Terms

By accessing or using SocialWhisper ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service constitutes acceptance of the modified Terms.

2. Description of Service

SocialWhisper is an AI-powered social media management platform that enables users to:

  • Generate social media content using artificial intelligence
  • Connect and manage multiple social media accounts
  • Schedule and publish content across platforms
  • Analyze content performance
  • Configure autonomous content generation and publishing

3. Account Registration

To use SocialWhisper, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this age requirement.

4. Acceptable Use

You agree not to use SocialWhisper to:

  • Generate or publish content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Violate any applicable laws, regulations, or third-party rights
  • Infringe on intellectual property rights of others
  • Distribute spam, malware, or engage in phishing
  • Impersonate any person or entity
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any systems
  • Use the Service for any illegal or unauthorized purpose
  • Violate the terms of service of connected social media platforms
  • Generate content that promotes violence, discrimination, or hate speech
  • Create misleading or deceptive content

5. AI-Generated Content

SocialWhisper uses artificial intelligence to generate content. You acknowledge that:

  • AI-generated content may not always be accurate, appropriate, or suitable for your needs
  • You are responsible for reviewing and approving all content before publication
  • We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content
  • AI outputs may sometimes be unexpected or require editing
  • You retain responsibility for all content published through your connected accounts

6. Content Ownership and Rights

6.1 Your Content

You retain ownership of any content you create, upload, or generate using SocialWhisper. By using the Service, you grant us a limited license to:

  • Store and process your content to provide the Service
  • Publish content to connected social media platforms on your behalf
  • Use anonymized, aggregated data to improve our services

6.2 AI-Generated Content

Content generated by our AI tools becomes your content upon generation. You may use, modify, and distribute AI-generated content as you see fit, subject to these Terms and applicable laws.

6.3 Our Content

The Service, including its design, features, and underlying technology, is owned by SocialWhisper and protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of the Service without our written permission.

7. Social Media Platform Compliance

When you connect social media accounts to SocialWhisper:

  • You remain bound by each platform's terms of service
  • You authorize us to act on your behalf to publish content
  • You are responsible for ensuring content complies with each platform's guidelines
  • We are not responsible for actions taken by platforms regarding your accounts
  • Platforms may change their APIs or policies, affecting Service functionality

8. Autonomous Publishing

If you enable autonomous publishing features:

  • You authorize the Service to generate and publish content automatically
  • You are responsible for configuring appropriate quality thresholds and preferences
  • You remain fully responsible for all automatically published content
  • You should regularly monitor autonomous activity and published content
  • We recommend starting with manual review before enabling auto-publishing

9. Payment and Subscriptions

9.1 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

9.2 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You retain access to paid features until the period ends.

9.3 Price Changes

We may change our prices without prior notice. Price changes take effect at the start of your next billing period.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Urgent security updates or fixes
  • Third-party service outages (AI providers, social platforms, etc.)
  • Events beyond our reasonable control

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided "AS IS" without warranties of any kind
  • We do not warrant that the Service will be error-free or uninterrupted
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid us in the past 12 months
  • We are not responsible for content published to third-party platforms or their responses
  • We are not liable for any loss of data, revenue, or business opportunities

12. Indemnification

You agree to indemnify, defend, and hold harmless SocialWhisper and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Content you create, generate, or publish
  • Your violation of these Terms
  • Your violation of any third-party rights

13. Termination

We may suspend or terminate your access to the Service:

  • If you violate these Terms
  • If required by law
  • If your actions risk harm to other users or the Service
  • If your account remains inactive for an extended period

Upon termination, your right to use the Service ceases immediately. You may request export of your data before termination.

14. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through:

  1. Informal negotiation between the parties
  2. If unresolved, binding arbitration in accordance with applicable rules

You agree to waive any right to participate in class action lawsuits against us.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SocialWhisper regarding the Service, superseding any prior agreements.
